About the role

The role is an opportunity to join the Company Secretariat (CoSec) with an ambition to establish and implement good governance practices to support the governance framework for the 50:50 joint venture VMED O2 UK Limited and its subsidiaries (VMED O2 Group).

 

VMED O2 Group comprises of the O2 and Virgin Media businesses in the UK, creating a stronger fixed and mobile connectivity services competitor in the UK market for the benefit of consumers, businesses, and the public sector.

 

The role will provide support for a wide range of governance and company secretarial matters and assist the Company Secretary in driving transparent and high standards of governance across the VMED O2 Group. To provide proactive, effective company secretarial and governance support and jointly lead on CoSec’s ambition to be a high performing function that provides a meticulous level of service to the VMED O2 Group.

 

Key Responsibilities

  • Oversee the development and implementation of subsidiary governance across the business, including corporate governance policy and the provision of support and guidance to the Business
  • Act as a point of contact for Directors, external auditors, and the Business on governance matters
  • Lead on embedding good governance practices across the Business
  • Oversee the maintenance of the entity Management System/ database and manage the statutory filings for the VMED O2 Group.
  • Draft high quality governance reports and ancillary statements as part of the Annual Report 
  • Draft board minutes and facilitate board meetings to accord with statutory procedures
  • Support the evolution of the CoSec function, governance framework considering best practise and the Business needs
  • Maintain the corporate governance information on all required company platforms (including company websites, intranets, and Workplace).
  • Support with any responsibility for co-ordinating and submitting reporting for the Company’s Shareholders, Auditors and any company reporting including KYC request.
  • Support the Board and Shareholder approval processes and maintain the minute books
  • Review statutory corporate transparency statements for example, the Modern Slavery Statement.
  • Assist with any project that may be required from time to time

 

What We Need from You:

Essential Skills:

  • A self-starter with excellent attention to detail, integrity, resilience, self-awareness, and emotional intelligence 
  • Exceptional communicator and good at upward management
  • Proactively supports the development of the team in its ambition to drive good governance practices across the business
  • Ideally an Associate of the Corporate Governance Institute (ACG/ACIS) with substantial post qualification experience as a governance specialist
  • Experience of Diligent Entity Management and Diligent Board Portal
  • Meticulous attention to detail and works to high standards and confidentially.
  • Organised, methodical, and able to manage a variety of tasks to different timescales and priorities.
  • Ability to adapt and proactively deal with issues as they arise and demonstrate good judgement in resolving these
  • Proficient in all Microsoft Office software package and familiarity with governance related tools and software
  • Excellent interpersonal skills and able to interact with people at all levels
  • Great team player and with collaborative and flexible attitude to step up and deputise for the Company Secretary
