What you’ll create and do
As a Senior Manager (VP) in our Corporate Finance team your primary role will be to guide clients through divestiture, acquisition, and financing transactions. You will work with clients and the corporate finance team to assess current industry conditions, identify potential buyers (or sellers), review valuation parameters, develop marketing strategies and documents, engage potential buyers (or sellers), solicit and negotiate offers, navigate due diligence, assist in negotiating definitive agreements, and ultimately close the transaction. Responsibilities include but are not limited to:
Oversee the transaction process from concept to successful closing with minimal supervision
Manage, develop and mentor Managers, Senior Associates, Analysts and other staff
Prepare, review and communicate complex financial and capital market information to clients (executives, owners and Boards)
Proactively pursue internal/external business development activities including preparation and delivery of pitch presentations
Oversee the preparation and/or review of other written documents, including confidential information memorandums, management presentations and strategic reviews
Prepare and/or review valuation analysis and financial models
Leverage experience to develop highly insightful and creative buyer/investor/target lists
Lead client meetings, marketing calls, presentations, and due diligence sessions
Act as the main point of contact for clients, other advisers, legal counsel, and transaction counterparties (e.g. strategic buyers, private equity firms)
Oversee the due diligence process, including population of data room, managing requests and queries and coordinating responses
Review and comment on definitive transaction agreements (share/asset purchase agreements and ancillary agreements)
Perform capital structure reviews and advise on equity and debt financing options to meet client objectives
Consult with private company owners on succession planning and exit strategies
Complete applicable compliance forms in connection with transactions
What you’ll bring to this role
An interest in upskilling for a digital world and technology trends, an openness to learning new tools and adapting how you work
A demonstrated commitment to valuing differences, developing and coaching diverse teams, and ensuring diverse perspectives are heard
Undergraduate degree in a business-related field with an excellent academic record
Completion of one or more professional designations (CA, CPA, CFA, CBV, MBA) preferred
Significant professional work experience in M&A, corporate finance, investment banking, private equity or corporate development including a track record of closing transactions (financial/M&A experience with private companies an asset)
Thorough understanding of Corporate Finance/M&A advisory services and ability to primarily lead a corporate finance team through a transaction process
Demonstrated experience managing all stages of corporate finance/M&A transactions
Ability to manage and prioritize multiple projects while maintaining a high standard of work
Demonstrated ability to translate large amounts of complex business and financial information into a professional, clear and concise presentation
Experience coaching staff, providing timely and meaningful written/verbal feedback
Completion of (or willingness to complete) required FINRA licensing exams
