Job Description
Position Objective:
- To provide a broad range of company secretarial services for the UK legal entities;
- To ensure good governance procedures are followed and implemented;
- Supervision of members of the Belfast Company Secretariat team; and
- Co-ordinate/lead on any ad hoc initiatives/projects impacting the Company Secretariat function.
Key Responsibilities:
To ensure all legal requirements for the UK legal entities under the Companies Act are met, including but not limited to, -
- Attending periodic and ad hoc Board and Committee meetings
- Attending periodic and ad hoc UK legal entities board and Committee meetings
- Assembly and distribution of board and committee packs
- Arranging Shareholder meetings
- Completion of returns to Companies House
- Board appointments and resignations
- To take minutes of Board and Committee meetings.
- To actively participate in corporate projects, such as intra-group transfers, company formations, liquidations, which often have a foreign dimension.
- To provide corporate data for KYC purposes.
- To continue to evolve technology and digital processes in the Company Secretarial department and provide any necessary enhancements.

Qualifications:
- 5-8 years of experience
- Experience working with C-Suite and Non-Executive Directors
- Experience working in corporate legal department, law firm, financial services, consulting, technology firm or related industry
- Must have advanced organizational skills, attention to detail, exceptional verbal communication and listening skills
- Knowledge of legal customs and practices
- Project management skills
- Knowledge and understanding of the financial services industry
Education:
- Bachelors/University degree or equivalent experience
