The Sr. Manager of Technology Assessment and Integration leads MSFT’s product/technology/IP due-diligence and integration process for all acquisitions and divestitures at MSFT.  S/He is also responsible for leading the code assessment work for licensed in source transaction and other projects in partnership with LCA IP&L and Engineering Excellence. Partnered with the business unit technical leads, the Technology Assessment and Integration team is accountable for identifying and mitigating technology, intellectual property and product integration risks and advising senior management on the impact of these risks to either the business case or integration assumptions for a particular transaction.  This team is also responsible for the handoff of acquired software assets and the on-boarding of the acquired engineering teams while continuing to improve the speed, agility and competitiveness of the overall process.  

 

The Manager of Technology Assessment and Integration will work with the Senior Director of Technical Assessment and Integration in leading the end-to-end technical due diligence, product and engineering integration management activities for acquisitions, mergers, divestitures, joint ventures and licensed-in source transactions. 

Responsibilities

Focuses on preserving and creating value from Microsoft’s transactions by mitigating product, technology and IP risks – providing insight, clarity and execution

Understands and operationalizes the product/technology and GTM integration strategies

Leads confirmatory technical and IP due diligence and product integration planning

Mobilizes and leads internal/external cross functional virtual teams supporting Tech DD

Assesses the impact of confirmation due diligence, code/IP remediation, compliance engineering on the integration/separation on the business and deal value drivers

Translates business requirements into product/technology/IP integration/separation plans

Creates highly effective cross functional partnerships across Engineering Group technical leads, Mavs teams, Corporate Development, CELA, 1ES, Regulatory Affairs and like groups

Clarifies issues and risks and identifies creative solutions; monitors progress against deliverables/facilitates reviews

Shares best practices from prior transactions from across the enterprise and their experience

Ensures communication plans are in place and timely handoff process document and delivery of code

Advances practice capabilities, knowledge management areas and industry awareness/benchmarking

Other position-specific responsibilities include:

Supports/leads the Enhance IP code scanning assessment process for licensed in source and other transactions in partnership with CELA and 1ES/Component Governance

Leads IP only transactions as an alternative to an acquisition as requested by Engineering groups

Broadens already strong working relationships with engineering executive sponsors, technical leads, legal and corporate affairs, 3rd-party technology vendors and CXO’s in acquired companies.

Supports/leads initiatives to extend MSFT’s world class capability in technology/product assessment and integration.

Qualifications

A minimum of 5-10 years of software product development and management experience spanning different platforms/technologies (e.g., MSFT, Linux, .NET, Sun Java, Cloud, Open Source, etc.).  Including:

 

Broad-based technology and business experience with specific functional understanding of software product development, software technologies in those industries where MSFT competes, IT operations, and intellectual property.

Familiarity with MSFT’s software development life-cycle, development environment/tools, engineering standards and compliance policies.

Previous work and related experience in the management of major software development/release projects, prior merger/acquisition experience in technology based companies

Exceptional interpersonal skills and track record of managing large and complex projects across multiple disciplines (e.g., R&D, legal, business operations and IT).

An understanding of the fundamentals of intellectual property (e.g., copyright and software licenses) and license issues associated with Open Source software.

Must be a team builder and leader who can create and lead virtual teams.

An effective communicator at all levels with ability to act as advisor to Senior Management and Technical Assistants.

A BA/BS/MS Degree in mathematics/computer science is preferred.
