Role Responsibility

To provide accurate, timely, practical and commercially focussed corporate legal and risk management support on acquisitions, disposals, joint ventures, restructures, new and existing investments and financial instruments, as well as other forms of partnerships entered into by the BBC Studios group around the world.

To draft, negotiate and advise on the above corporate transactions, liaising with external counsel and internal lawyers as appropriate and provide support on new or existing financial instruments.

To work closely with the Head of Legal in the Corporate & Operations team and support the team generally with various projects, including managing corporate transaction processes.

Work collaboratively with the overall transaction lead and other stakeholders (including BBC Studios Company Secretariat and the Indie deal team) to ensure effective negotiation and timely completion of the transaction documents required.

Support and supervise Junior Lawyers’ development, in particular with corporate transactional work.

Facilitate legal knowledge sharing across our Business and Legal Affairs team globally.

The Ideal Candidate

At BBC Studios, we seek people who are passionate about who we are and what we do.

You will be a qualified lawyer with a corporate background and with at least 5 years PQE. You will have substantial experience in drafting and negotiating corporate transaction documents including shareholders’ agreements, articles of association, sale and purchase agreements, corporate ancillary documents and experience in drafting and negotiating simple contracts including confidentiality agreements and exclusivity letters.

Sound understanding of English contract law, company law, intellectual property rights, and the ability to proactively identify potential issues in advance and develop pragmatic commercial solutions.

Experience with commercial transactions and/or providing regulatory advice will be desirable and an eagerness to learn, develop and support wider non-corporate transactions is essential.

You must be a team player and have a collaborative communication style, with an ability to forge effective working relationships across a variety of stakeholders.
